设立条件
1. 设立外商投资企业条件
() 有符合规定的名称； (2) 有审批机关批准的合同、章程；
(3) 有固定经营场所、必要的设施和从业人员；(4) 有符合国家规定的注册资本
    (5) 有符合国家法律、法规和政策规定的经营范围；
    (6) 有健全的财会制度，能够实行独立核算，自负盈亏，独立编制资金平衡      表或者资产负债表。
     2. 外商投资企业设立从事经营活动的分支机构条件
     (1) 有符合规定的名称；
(2) 有固定的经营场所和设施；
(3) 有相应原管理机构和负责人；
(4) 有经营活动所需要的资金和从业人员；
( 5) 有符合规定的经营范围；
( 6) 有相应的财务核算制度(实

The general conditions 1. the general conditions for the foreign investor to an enterprise, as follows: (1) the name of the foreign party in accordance with the regulations; (2) the contract and chapter authorized by the examining and approving authorities; (3) fixed place of business, indispensable facilities and staff numbers ; (4) registered funds complying with Chinese regulations; (5) business scope in accordance with the Chinese laws and regulations as well as policies; (6) sound accounting system, being capable of independent accounting and compiling fund balance sheet and balance sheet. 2. the general conditions the foreign investment enterprise to set up a branch offi ce as follows: (1) the name of the branch office in accordance with the regulations; (2) fi xed place of business and facilities; (3) relavant original administrative institutions and offi ces; (4) fund and staff numbers needed for business activities ; (5) business scope in accordance with the Chinese regulations; (6) relavant financial accounting system (non-independent accounting ).
